Terms of use *: 1. TERMS OF USE FOR THE WWW.KVARKEN.COM PORTAL This web portal ("Portal") is supplied by the Swedish Polytechnic, Finland and FR Service in AC-län AB ("Suppliers") within the framework for the Crossroad Kvarken Project. The Suppliers will furnish the services on this Portal in compliance with these terms of use ("Terms"). The Portal includes services for finding partners and suppliers for business purposes (calls for tender and tenders) and functions for cooperation (discussion forums and shared file archives) ("Service"). By registering as a user of the Service and subsequently using the Service, you will automatically accept these Terms. Unless explicitly stated, these Terms will also cover all new services that are added to or improve the present service. The Suppliers reserve the right to update these Terms from time to time without prior notice. The latest version of these Terms can be found at any time at the address /portal/avtal.asp. 2. MEMBER ACCOUNT, PASSWORD AND SECURITY. When registering to become a user of the Service, you must: (a) supply current, correct and complete information on yourself in compliance with the Service's registration form (named "Registration Details" below) and (b) choose a password and a user ID. The user is responsible for maintaining and regularly updating the Registration Details in order to keep the information current, correct and complete. The user is solely responsible for the confidentiality of the password and the account. The user is also solely responsible for all the activities undertaken via the password or account. The user shall (a) immediately inform the Suppliers of any unauthorised use of the password or account and any other form of security breach and (b) ensure the account is closed after each session. The Suppliers are not responsible for any loss or damage caused by failure to meet with these requirements. Conversely, the user may be held responsible for any damage suffered by the Suppliers or any other party caused by use of the password or account. The use of another account is not allowed without the permission of the account holder. 3. PERSONAL DETAILS A certain number of personal details are required when registering to use this Service. The Service may also include such areas where it is possible to give additional personal details. The Suppliers may forward these details to subsidiaries and other partners if this is deemed necessary to maintain the Service. The Suppliers will use your personal details for the following purposes: to check your user ID, for invoicing and for making contact with the user. By accepting these Terms, you will also be giving your explicit approval for your personal details to be used in the manner described in the above paragraph and for the purposes specified in the above paragraph. USING THE SERVICE The user agrees that the sender is solely responsible for all information, data, text, software, music, sound, photographs, graphics, video, messages or other material ("Content"), whether it be posted publicly in transferred privately. This means that it is the user and not the Supplier that is solely responsible for all the Content that is uploaded, posted, e-mailed or transferred via the Service in any other way. The Suppliers do not check the Content that is posted via the Service and consequently do not guarantee its accuracy, completeness or quality. However, the Suppliers reserve the right to inspect the Content that is made available via the Service and to remove the Content at their own discretion. Without restricting the above, the Suppliers and their representatives reserve the right to permanently remove any Content that violates these Terms or which the Suppliers consider to be offensive. The user undertakes to bear all the risks associated with the use of all the Content, which comprise reliability, completeness and benefit of such Content. The Suppliers are not responsible for such Content, including errors and defects in the Content, or for any loss or damage of any kind incurred through the use of any of the Content that has been sent, e-mailed or in any other way transferred via the Service. When using the Service you must not: a. publish, post, e-mail or in any other way forward any Content that is illegal, offensive, harassing, injurious, defamatory, obscene, libellous or invasive, or which the Suppliers consider to be racist, ethnically abusive or in any other way objectionable. b. pass yourself off to be another physical or corporate entity or in any other way deceive others by giving a false identity. c. publish, post, e-mail or in any other way forward Content that encroaches on patents, trademarks, trade secrets, copyright or any other rights belonging to someone else. d. upload, post, e-mail or in any other way forward unsolicited advertisements ("spam"), chain letters, mass mail, direct advertising or pyramid selling schemes. e. store, send, e-mail or in any other way forward material containing computer viruses, Trojan horses, worms or other computer code, file or programme intended to interfere with, destroy or limit the use of computer software, hardware or telecommunications equipment. f. interfere with or interrupt the Service or servers or networks connected to the Service, or violate regulations for networks connected to the Service. h. violate any current legislation or stipulations. The user hereby consents to the Suppliers retaining the Registration Details and Content and revealing said Registration Details and Content if the Suppliers are required to do so in accordance with legislation or if the Suppliers at their own discretion consider this to be necessary in order to: (a) comply with legislation, court order or request from authorities; (b) maintain these Terms or (c) refute claims that the Content encroaches on the rights of a third party. The user accepts that the technical processing and transfer of the Service, including the user's Content, can involve (a) transfer via different networks and (b) revisions to adapt and process the Content in accordance with technical requirements for the connection of networks or other devices. The user hereby gives the Suppliers the permission and right in conjunction with the operation of the Service to copy the, distribute, transfer, advance, exhibit, make public, revise and format the Content the user has published, posted, e-mailed or in any other way forwarded or furnished through the Service. The Suppliers nevertheless make no claim to the ownership of the Content the user has published, posted, e-mailed or in any other way forwarded or furnished through the Service. RESALE OF THE SERVICE PROHIBITED The user may not reproduce, duplicate, make copies of, sell, resell or exploit any part of the Service, use of the Service or access to the Service unless otherwise specified. 6. GENERAL REGULATIONS CONCERNING USE AND STORAGE The user understands and accepts that the Suppliers may set up general limitations in the use of the Service, including but not limited to, the maximum number of days during which posted messages or other Content will be retained by the Service, a maximum assigned disk space on the Suppliers' servers that the user can take advantage of, and the highest number of times and a maximum time during which the user has access to the Service within a specified period of time. The Suppliers will not be responsible or liable for any messages, other communications or other Content that is stored in or transferred via the Service, removed or not stored. The Suppliers reserve the right to close accounts that have been inactive for long periods. Furthermore, the Suppliers reserve the right to revise these general limitations at their own discretion and at any time without prior notification. 7. REVISION OR CANCELLATION OF THE SERVICE The Suppliers reserve the right to change or withdraw the Service (or part thereof) at any time and from time to time, temporarily or permanently, with or without prior notice. The Suppliers are not liable to the user for any changes, interruptions or withdrawals of the Service. The Suppliers may at their own discretion cancel the user's password, account (or part thereof) and the right to use the Service as well as remove and destroy the Content within the Service on any grounds whatsoever, including that the Suppliers consider the user to have violated these Terms or acted in any way contradictory to the spirit of the Terms. The user accepts that a termination of access to the Service in accordance with any stipulations made in these Terms can be done without prior notice and that the Suppliers can with immediate effect deactivate or remove your account, all information and all files attributed to the user's account and/or block all access to such files or to the Service. The Suppliers are not liable to the user for the termination of access to the Service. 8. BUSINESS WITH THIRD PARTIES FOUND ON OR THROUGH THE SERVICE Any correspondence or business with third parties found on or through the Service, including payment and delivery of any goods or services, and other conditions, stipulations, guarantees or undertakings associated with such business are solely the concern of the user and such third parties. The Suppliers are not responsible or liable for any loss or damage of any kind that arises through such business or as a result of such business being available within the Service. 9. LINKS TO EXTERNAL PARTIES' WEB SITES The Service or third part can provide links to external third parties' web sites. Since the Suppliers do not exert any control over such web sites, the Suppliers are not responsible for the availability of such external web sites or for any content, advertising, products or other material made available on such web sites. Furthermore, the Suppliers are not responsible or liable, directly or indirectly, for any damage or loss caused or arising from or in conjunction with the use of or reliance upon such content, goods or services that are available on or through such third parties' web sites. It is the user's responsibility to take part of and comply with the terms of use and other conditions published on these third-party web sites. 10. DISCHARGE FROM LIABILITY YOU ARE EXPRESSLY IN ACCEPTANCE WITH AN AGREE THAT a. YOU USE THE SERVICE AT YOUR OWN RISK. THE SERVICE IS PROVIDED "AS IS". THE SUPPLIERS ARE EXPRESSLY DISCHARGED FROM ALL EXPRESSED OR IMPLIED GUARANTEES OF EVERY KIND. b. THE SUPPLIERS DO NOT GUARANTEE THAT (i) THE SERVICE MEETS WITH YOUR EXPECTATIONS, (II) THE SERVICE WILL BE PROVIDED WITHOUT INTERRUPTION OR TIMELY, BE RELIABLE OR FREE FROM DEFECTS, (III) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE ARE CORRECT AND RELIABLE, (IV) THE QUALITY OF THE PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIALS THAT ARE PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET WITH YOUR EXPECTATIONS. c. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA ARISING FROM THE DOWNLOADING OF CONTENT FROM THE SERVICE. d. ANY ADVICE OR INFORMATION, WRITTEN OR SPOKEN, OBTAINED BY YOU FROM THE SUPPLIERS OR THROUGH THE SERVICE DOES NOT CONSTITUTE A GUARANTEE THAT IS NOT EXPRESSLY GIVEN IN THESE TERMS. YOU ARE EXPRESSLY IN ACCEPTANCE WITH AND AGREE THAT THE SUPPLIERS ARE NOT LIABLE FOR ANY DIRECT OR INDIRECT DAMAGE, INCLUDING DELAY OR ABSENCE OF POSSIBILITY TO USE THE SERVICE, LOSS OF INCOME, GOODWILL, UTILISATION, DATA OR OTHER FINANCIAL LOSS DUE TO: (i) THE USE OF OR INABILITY TO USE THE SERVICE; (ii) THE COST OF ACQUIRING REPLACEMENT GOODS OR SERVICES WITH REGARD TO GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED, MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICE. (iii) UNAUTHORISED ACCESS OR CHANGES TO YOUR DATA TRANSFER; OR (iv) OTHER CONDITIONS ATTRIBUTED TO THE SERVICE. 11. CLAIMS FOR COMPENSATION You undertake to keep the Suppliers, their subsidiaries, subcontractors, directors and employees indemnified to all types of legal claims or liability to compensation, including costs of legal representation, that may be made by a third party due to or in connection with your use of or your conduct with the Service. 12. COPYRIGHT AND COPYRIGHT REPRESENTATIVE The Suppliers respect the property of others and we ask users to do the same. If you believe someone has violated your copyright, please inform the Suppliers and include the following information: 1. an electronic or ”physical” signature of a person with authority to represent the copyright holder; 2. a description of the copyrighted work you believe was the object of the violation; 3. a description of where the material you claim violates the copyright can be found on the website; 4. your address, telephone number and e-mail address; plus 5. a statement from you that you have reasonable grounds to believe that the use in question does not have the permission of the copyright holder, the copyright holder's representative or is otherwise allowed in applicable legislation. The Service can also send messages concerning changes in these Terms or other matters by displaying a message or a link to the message via the Service. Unless specified otherwise, these Terms constitute the entire agreement between the user and the Suppliers for the use of the Service. These Terms replace all previous agreements between the user and the Suppliers regarding the Service. Further terms and stipulations may also apply when using associated services, third party content or third party software. These Terms and the relationship between the user and the Suppliers are regulated in Finnish law with the exception of its international civil law. The user and the Suppliers are in agreement that any disputes shall be decided exclusively in the Finnish courts. The Suppliers' omission to execute or uphold any stipulations or regulations in these Terms shall not constitute a waiver of any right or provision. If any provisions made in these Terms should be declared by a court of law to be invalid or unenforceable in compliance applicable legislation, the provision that is invalid or unenforceable shall be substituted with a provision that is valid and enforceable and which as far as possible meets with the intention of the original provision, while the remaining provisions in these terms will continue to apply.
